CONSTITUTION OF THE SILIGURI BAR ASSOCIATION SILIGURI
1. The name of the Association is and shall be โSiliguri Bar Associationโ:
2. The office of the Association is and shall be in the town of Siliguri in the Association premises:
3. The expression โASSOCIATIONโ mentioned in this constitution shall mean โSILIGURI BAR ASSOCIATION โ.

4. OBJECTS: The object of the Association shall be as follows:-
a) To provide shelter, accommodation and comfort to its members;
b) to provide books of law to the members;
c) to provide News papers, Magazine and/or other periodicals which may give useful information to the members;
d) to further the interests of its members and the legal profession;
e) to raise funds for carrying out the object of the Association;
f) to do all other things which may be ancillary or conclusive to the attainment of the aforesaid object or any of them;
5. All persons who are law graduates and practicing as advocates ordinarily in the Courts ( Civil Criminal) of Siliguri or who ordinarily attend such Courts to practice therein would be eligible to be members of this Association;
6. The members of the Association shall consist of:
i) Existing members and
ii) Persons who may hereafter be admitted into membership of the Association;
iii) Life Member i.e. members who have contributed the sum of Rs. 2,000/- (Rupees two thousand) only to this Bar Association in between 03.03.84 and 31.05.85 and also the members who have contributed the sum of Rs. 15,000/= [Rupees fifteen thousand] only to this Bar Association in between 2009-10 and in between 2011-12.
Provided that on payment of the sum or sums to be determined & fixed from time to time by the Executive Committee of the Association every member shall have the right to be a Life Member of this Association.

7. Membership of the Association shall cease-
a) by resignation rendered to and accepted by the Association;
b) by expulsion by the Association;
c) for conviction for an offence involving moral turpitude;
d) by death, insanity, loss of necessary qualification of membership and by non-payment of the dues of the ssociation as laid down in the rules.
8. The Association shall have an Executive Committee with 9 members and the following office bearers:-
a) President;
b) Vice President;
c) Secretary;
d) Two Assistant Secretaries:
e) One Librarian;
The Executive Committee Members will be elected from amongst the members who have been members of this Association for a continuous period of not less than 3(three) years;
Provided that –
i) The President will be elected from amongst the members who has been the members of the Association for a continuous period of not less than 20 (twenty) years.
ii) The Vice President will be elected from amongst the members who has been the member of the Association for a continuous period of not less than 15 (fifteen) years.
iii) The Secretary will be elected from amongst the members who has been the member of the Association for a continuous period of not less than 10 (ten) years.
iv) The two Asstt. Secretary will be elected from amongst the members who have been the members of the Association for continuous period of not less than 7 (seven) years;
v) The Librarian will be elected from amongst the members who has been the member of the Association for a continuous period of not less than 5 (five) years.
vi) The outgoing President and Secretary will be co-opted as members of the Executive Committee without any right of voting, if they do not contest for any post in the election of the Executive Committee.
9. The Office bearers and the Executive Committee members shall administer & manage the affairs of the Association to achieve the aims & object of the Association & they shall be elected from amongst the members according to the Rules prescribed herein at the Annual General Meeting

10. The office bearer and the Executive Committee shall hold the office of the Association for one Accounting Year.
10A. Accounting year of the Association shall commence on and from 1st Day of April of each year and shall end on the 31st day of March of the next calendar Year.
11. Any person eligible for membership may apply in writing to the Secretary of the Association for admission to the membership of the Association.
12. The Secretary shall place the application within a reasonable time before the Executive Committee may grant or refuse admission without assigning any reason.
13. When the Executive Committee in its meeting admits the applicant as a member. The applicant shall be deemed to have acquired all the rights and privileges obligations and responsibilities of a member of the Association.
14. The subscription for the members shall be Rs. 30/- per month [Rs.20/= up to June, 2007] payable every month on or before the end of the month. The Association may increase or reduce the subscription from time to time.
15. a) at the time of enrollment the applicant shall be required to pay an admission fee of Rs. 1,200/- (Rupees one thousand two hundred only) [previously 800/=] together with subscription for the month in which he seeks admission. b) Any member whose membership terminates for non payment of monthly subscription, shall have the right to be re admitted as a member of the Association on payment of all arrear dues together with a re-admission fee of Rs. 200/-
16. Any member who falls to pay the monthly subscription of membership for three consecutive months, he shall be served with a notice either through peon book or by Registered Post with arrear subscription within 15 days from the date of receipt of the said notice, falling which his membership will atomically stand terminated and he shall loose and forfeit all his rights and privileges as a member of the Association. The concerned member shall bear the cost of such notice in the event of compliance of the same. Registration of notice in the address of the member as recorded in Associationโs office will be considered as sufficient proof service of the notice.
17. i) A member of the Association shall have the following rights & obligations:
a) To elect and to be elected in any election of the Association;
b) To pay his subscription within the prescribed time;
c) To participate in all the efforts of the Association;
d) To attend all the general meetings of the Association
e) To uphold the ethical principles of the Profession;
f) To use & enjoy the library of the Association subject to the rules of the Association;
ii) A member who has defaulted to clear up his monthly subscription upto date that is upto the end of the month proceeding the month during which the election is held shall not have the right to vote or to participate in the Annual General Meeting.
18. The President: The President shall over all the meetings and functions for the Association & of the Executive Committee subject to rule 33 and advice on all important matters. He shall have the general power of supervision and control over all matters of the Association and act accordingly.
19. Vice President: The vice president shall preside over all the meetings of the Association & Executive Committee in the absence of the President & shall aid the President in the discharge of the responsibilities.
20. The Secretary: The Secretary shall-
a) Convene all the meeting of the Executive Committee & the Association in consultation with the President
b) Maintain minute books of all meetings;
c) Sign all papers on behalf of the Association;
d) Issue notice, circulars, letters etc. to members and / others;
e) Appoint, dismiss discharge clerks, servants and other employees subject for the approval of the Executive Committee in a meeting;
f) Suspend, grant, leave to, employees with or without pay and to make necessary arrangement for filling up the vacancies in consultation with the President;
g) Order payment of bills not exceeding Rs.1000/-;
h) Transact all other business subject to the direction or approval of the Executive Committee;
i) Arrange printing or forms and to issue necessary order therefore;
j) Keep the maintain stock registers of forms;
k) Collect the subscriptions and deposit money in the bank of Postal Savings Bank & shall keep and maintain cash books, account books, vouchers, cash memos and all other accounts;
l) Shall ordinarily act in all matters relating to the Association.
21. Assistance Secretaries: They shall aid the Secretaries in the discharge of his responsibilities and in the absence of the Secretary, the Senior Assistant Secretary shall perform all the duties and functions of the Secretary and in the absence of them, the other Assistant Secretary shall do the same. The Assistant Secretaries shall also attend such others works as may be assigned to the them by the Secretary. The Seniority will be counted from the date of enrolment as a member of this Association.
22. Librarian: The Librarian shall be responsible for the proper upkeep of the Association Library and shall maintain an up-to-date catalogue of all books and journals with their value. He shall with the approval of Secretary and the President Place order for purchase of books.
23. Books may be issued to a member of the Association on signing his name in the appropriate Register maintained for the purpose. In case of loss of any such book / books or journal / journals the member concerned shall replace the book / journal. In case such book or books or journal / journals is/ are not replaced the member concerned shall pay double the price of such book or journal lost. No text book or A.I.R. Manual shall be issued to any member without the prior special permission in writing of the President.
23A. No member shall retain a Text book of the Association more than one day and journal for five days, in default of which such member shall have to pay lending charge @ Re. 1/- (Rupee one) only per day for retention of each such book beyond the stipulated period.
24. The mode of decision in the meeting shall be by rising of hands but in important matters as may be decided in the meeting the President or the Chairman of the meeting may take votes by Secret Ballot. The election of the Office bearers and of the Executive Committee members shall be by Secret Ballot.
25. Any temporary vacancy in the Associationโs Executive Committee including Office bearers shall be filled in by the Association by holding election provided such vacancy does not occur within three months immediately preceding the expiration of the term of the Executive Committee.
25A. There shall be a Mutual Medical Welfare Fund in the name of SBA Mutual Medical Welfare Fund [ in short, SBA MMW Fund] in which all the members including the life member of this Association shall contribute @ Rs. 240/= per year for the periods from 2010-11 onwards or a sum of Rs. 5,000/= as life membership contribution of this fund as the case may be and that the management of this fund shall be guided according to the rules as framed in this respect in the name of SBA Mutual Medical Welfare Rules;
PROVIDED that the General Body of the Association may enhance the quantum of the aforesaid contribution from time to time or modify or alter the Rules, on the recommendation of the Executive Committee of Siliguri Bar Association;
PROVIDED further that the amount collected previously by the Association @ Rs.100/- per year on account of Medical Benefit Fund of the financial year 2002-03 onwards to 14.02.2011, from all of its such member, who had / has not received any medical assistance from Siliguri Bar Association on account of his/ her medical treatment / hospitalization expenses in between the periods from 2002- 03 onwards to 14.02.2011, shall be treated as the deposit made by the concerned member as an advance and shall be adjusted in calculating the contribution of such member for the periods from 2010-11 onwards either against the amount of annual contribution of this fund, or against the life membership contribution of this fund, unless decided otherwise by the General Body. The life member of this fund shall not be liable to pay the annual contribution.
PROVIDED further that the rest of the amount as collected from other sources or accrued by way of interest from 2002-2003 onwards in the account of Medical Benefit Fund or to be collected or accrued hereafter shall be transferred to the SBA MUTUAL MEDIACL WELFARE FUND and shall be treated as the corpus of this fund; [Article 25A Inserted by the Executive Committee in its Meeting held on 14.02.2011 read with the decision of the Special General Meeting held on 04.02.2011 & Finally published , after discussion in the meeting of the Executive Committee held on 28.02.2011]
26. The funds of the association shall be kept in deposit with the post office at Siliguri or with any bank in the name of the Association and shall be operated by the President and the Secretary jointly. The funds of the association may be invested in securities if it is considered to be profitable.
27. The Association shall hold an Annual General Meeting at least once in a year. The Annual General Meeting of the Association shall be held within 31st day of March every Accounting Year. If the Annual General Meeting as aforesaid cannot be held for any unavoidable circumstances within the period as stipulated above, then the said Annual General Meeting shall be held within 30 days after the expiry of that stipulated period.
15(fifteen) days clear notice specifying the time, place and hour together with a list of business to be transacted shall be issued by the Secretary to every member of the Association personally or by post under certificate of posting before holding such General Meetings.
Before issuing the notice of the Annual General Meeting the Secretary shall issue notice inviting the members to clear up all monthly subscription and other dues if any, upto the month proceeding the month of such annual General Meeting giving ten days time. Such notice will be circulated in the rooms of the Association and would be displayed in the Notice Board.
28. The business to be transacted at the Annual General Meeting shall be:
a) To adopt with or without modification the report of the Secretary for the previous year ended;
b) to pass audited accounts for the previous year;
c) to elect office- bearers and Executive Committee members for the new term;
d) to adopt or modify the constitution of the Association;
e) or to frame any bye โlaws.
28. A. There shall be Ordinary General Meeting of the Association twice in a year on the date and time to be specified by the Executive Committee giving seven days time.
The Secretary shall arrange for the circulation of the notice of such ordinary General Meeting within the Association rooms and the copies of such notice shall be displayed in the Notice Board of the rooms of the Association.
In the ordinary General Meeting the following agenda shall be discussed:
a) to consider the report of the Secretary,
b) to consider the acts done by the Executive Committee upto the date of such ordinary General Meeting.
29. Special General Meeting:-
A special General Meeting shall be convened by the secretary if two- third members of the Association requisition such meeting specifying the nature of business to be transacted at the meeting. On receipt of such notice the Secretary shall hold such meeting within 21 days. In default by the Secretary, the requisitionist shall hold such meeting provided no business other than the one specified in the notice shall be transacted.
The Executive Committee in case of necessity may convene Special General Meeting to discuss any matter giving at least 3 days time.
30. In Executive Committee meetings at least two dayโs notice shall be given specifying the place, date, hour, and agenda of the meeting
31. In case of emergent matters, emergent meeting of the Executive Committee may be called on two hours notice.
32. Presence of one fifth members of the Association shall form a quorum for the โAnnual General Meetingsโ, โOrdinary General Meetingโ and โSpecial General Meetingsโ.
If there is no quorum within thirty minutes of the time specified in the notice. The members present may adjourn the meeting and fix the venue and another date and time of the meeting and no notice for such meeting will be necessary. In the adjourned meeting also if the quorum is not formed the members present may meet and transact the business specified in such notice.
33. the President or in his absence the vice President shall preside over all meetings including the Annual General Meeting of the Association and in the absence of both of them the members present shall elect a member from amongst themselves to preside over such meeting.
PROVIDED that if the President or the Vice President offer himself as candidate for any of the post of office bearers or as Executive Committee members none of them shall preside over such Annual General Meeting.
34. All questions before any meeting will be decided by majority of Votes, each member having one Vote. The president or the Chairman or the meeting shall have a second or a casting vote in addition to his own vote in case of equality of votes.
35. All resolutions of the meeting shall be recorded in the minute book which shall be signed by the President of the meeting.
36. All the members of the Association shall use Vokalatnama, bailbonds, hazira, namjari, complaint and other forms printed and sold by the Association. The Association shall fix the prices of such forms from time to time.
37. Whenever any matter concerning the conduct of any member is brought to or comes to the notice of the Secretary or the President of the Association. He may if he thinks fit call for an explanation from such member and shall place the matter before the Executive Committee in a meeting.
38. If the conduct of any member is considered to be improper or against the professional ethics or against the interest of the Bar Association by the Executive Committee which in the opinion my or is likely to bring the Association into disrepute the matter shall be placed to the general body of the Association by the Executive Committee with its recommendation.
39. Whenever any matter is referred to the General Body of the Association under Article 37 or 38 above it shall after hearing the member concerned, if he desires to be heard, at a meeting convened for the purpose, deal with the matter, According to the provisions of the Constitution.
PROVIDED that no member shall be expelled from the Association unless 2/3rd of the members of the Association present in such meeting vote for such expulsion. However cases coming under Article 7 (C) shall not be controlled under this Proviso.
40. The auditor appointed by the Executive Committee shall audit the accounts and submit the audited accounts together with the report at least 7 days before the holding of the Annual General Meeting.
41. The audited Accounts, Auditorโs report shall be kept open for inspection of the members at least 3 days before the date of the Annual General Meeting.
42. The constitution may be amended in a General Meeting convened for the purpose with consent of the 3/4th of the members of the Association present in such meeting.
43. In all matters not provided for in this Constitution the Executive Committee shall have power to take decision which have to be placed for ratification before the Association in a special (next) General Meeting.
This Constitution shall come into force with immediate effect.
ELECTION RULES
a) For the purpose of election an Election Sub- Committee shall be constituted by the Executive Committee consisting of three members from amongst the members of the Association who shall not be intending candidates for any post in the election. One of the members of said committee shall be appointed as the Convener of the said committee
The election sub committee shall cease to exist after the election is over.
b) The Secretary of the Association will give notice of election at least 15 (fifteen) days before the date of holding election mentioning the date, time & venue of the election and also notifying the dates of filling of nomination papers, scrutiny of nomination papers and withdrawal of nomination papers.
c) All the intending candidates must submit their nomination to the Election Sub- Committee as per Performa prepared by the Executive Committee as aforesaid.
d) The Election Sub-Committee will make scrutiny of the nomination papers in presence of the candidates who filed their nomination papers and if any mistakes/ error in essential particulars is detected in the nomination papers then that will be treated as cancelled and the decision of the Election Sub- Committee shall be final and binding.
e) If no nomination paper is submitted for any post or posts or the nomination paper for any post is cancelled within the time as aforesaid there will be a fresh election with a fresh notice for such post or posts and until re- election the existing committee will continue of function.
f) The members of the Executive Committee will have the right to modify, alter the aforesaid Election Rules, if necessary subject to approval of the general body in the meeting.
VOTERS
1. Members who have cleared off all monthly subscription & other dues if any in and upto the month preceding the month of election shall be enrolled as Voters.
2. A voter shall be enrolled to contest for one post only.
3. No members will be entitled to contest for the post office bearers as well as for the post of Executive Body members.
4. There will be two sets of ballot papers โ one for the post of office bearers & the other for the membership of the Executive Committee.
5. Members, who have not compelled with the terms and condition as specifically provided in the constitution, shall not be eligible as voters.
6. Executive Committee shall prepare the voter list before publication of notice of the Annual General Meeting of the Association after observing all the provision of the constitution and the Election rules.
7. The members shall have to return the books taken from the library within 7 days from the date of notice and clear off all dues inclusive of Telephone bill and fine if any imposed for not returning the book in time as provided in Article 27 of the constitution, in default of which they shall not be eligible as voters.
-: SBA MUTUAL MEDICAL WELFARE RULES:-
1. These Rules will be called the SBA Mutual Medical Welfare Rules.
2. All the members including the life member of Siliguri Bar Association shall be the member of this fund.
3. Each and every member including the life member of Siliguri Bar Association shall contribute a sum of Rs.240/= per year for the periods from 2010-11 onwards to this fund or alternatively he/she may pay the lump sum amount of Rs.5,000/= in two installment on or before 31st December, 2011 [out of which one installment must be paid on or before 31st March, 2011, as his/her life membership contribution to this fund. It is clarified that the amount collected previously by the Association @ Rs. 100/= per year on account of Medical Benefit Fund of the financial year 2002-03 onwards to 14.02.2011, from all of its such member, who had/has not received any medical assistance from Siliguri Bar Association on account of his/her medical treatment/hospitalization expenses in between the periods from 2002-03 onwards to 14.02.2011, shall be treated as the deposit made by the concerned member as an advance and shall be adjusted in calculating the contribution of such member for the periods from 2010-11 onwards either against the amount of annual contribution or against the life membership contribution of this fund, unless decided otherwise by the General collected Body. The life member of this fund shall not be liable to pay the annual contribution.
4. The members paying the contribution annually to this fund shall have to pay his/her annual contribution on or before 31st March of every year for which the contribution is due and in default thereof, he/she will be debarred from getting the benefit of the Fund for that particular year.
5. A member, who has failed to pay his/her annual contribution to this fund within 31st March, shall have to clear his/her dues on account of this fund positively up to the end of the month preceding the month during which the election is held or else he/she will not have the right to vote or to participate in the Annual General Meeting of the Association.
6. The member who is in default in making the payment of his/her contribution to this fund within the stipulated date of 31st March shall have to pay the dues amount of contribution together with the late fine of Rs.100/= for each defaulting year.
7. Executive Committee of the Siliguri Bar Association shall be entitled to take such programme and measures to raise the Fund from outside sources.
8. The amount of the contribution as collected from the members or from other sources shall be deposited in the nationalized bank and shall be utilized only for extending the medical assistance to its members or in case of his/her death, to his / her bereaved family.
9. The President and the Secretary of Siliguri Bar Association shall operate the bank account of this fund jointly.
10. The member , in whose account there is no amount due to be received by the Bar Association either on account of this fund or on any other account of Siliguri Bar Association and is desirous to get the financial help to meet the medical expenses for his/her hospitalization, from the Association, will have to submit his/her application for grant of medical assistance in prescribed form within 30 days from the date of discharge from hospital along with all original papers and documents and that he /she will be entitled to get the fifty percent of his/her medical expenses incurred for his/her treatment in hospital only, subject to the maximum limit of a sum of Rs.25,000/=. In case of hardships in meeting up the medical expenses by the concerned member, this limit may be waived in exceptional circumstances and only after approval by the General Body of the Association.
11. The new member of the Association will not be entitled to claim any benefit against this fund unless he/she has completed a period of one year from the date of his/her joining in the Bar Association.
12. On receipt of the application in prescribed form from the member for grant of medical assistance in meeting up the medical expenses of his/her hospitalization, the Executive Committee shall take appropriate decision in this matter, subject to the terms and conditions as enumerated in the preceding clauses. In case, if the concerned member is covered under any Medical Insurance Scheme or Group Medical Insurance Scheme under any of the Insurance Company or Organization, then his/her application shall be considered keeping in mind the amount which he/she is likely to receive from the said company or from the said organization.
13. The Executive Committee shall have its power to inquire in respect of the application received for grant of the medical assistance.
14. In case, any member receives any amount of his/her claim under any other Medical Insurance Scheme or Group Medial Insurance Scheme from Insurance Company or other organization, exceeding the amount of his/her medical treatment, then he/she shall be liable to refund the amount of medical assistance as received from the Association.
15. The decision of the Executive Committee [or the General Body as the case may be] for grant of the medical assistance to any member or refusal thereof, shall be final and binding upon the member.
16. In case of death of any member, the Executive Committee my offer a sum of Rs.11,000/= to his/her spouse or other surviving family member, soon after his/her death and may pay the same to his/her spouse or other surviving member against proper receipt.
17. The Annual Report of the SBA Mutual Medical Welfare Fund shall be placed in the AGM together with the Audited Accounts for approval by the General Body.
18. These rules may be altered or modified in the General Meeting on recommendation by the Executive Committee.
